I know this is a few weeks late but hopefully this’ll help others with the same problem.
connect your iPod and backup!
in iTunes, download the new software
install the new software – this will wipe your iPod clean unfortunately.
once the new software is installed, right-click on your iPod under Devices in iTunes
go to “Restore from Backup…” and select the backup you just made.
All of your folders and (I think) apps should be back to where they were before but with the new software!
It was a few weeks since I did this so I am not sure if this re-adds your apps but I do remember having to put all of my music back onto it. Hope this helps!

if you’re willing to jailbreak your iPod touch, you can set up AFP for it and then have it appear on your desktop as an external drive. Then it’s just a case of copying the contents to another directory/drive.
or you can use an FTP client like cyberduck for macs or WinSCP (http://winscp.net/eng/index.php)for windows and do it that way. It still needs you to at least have installer and SSH installed on your iPod touch so that you can connect using http://FTP….
